    This paper was presented at the Basic Corporate Procedures for Legal Support Staff seminar which was held in Edmonton on April 6, 2011 and Calgary on April 13, 2011. This paper provides a general overview of the common business structures a client may choose when deciding to start a business, including sole proprietorship, general partnerships, limited partnerships, limited liability partnerships, societies, Part IX companies and corporations. The paper discusses how these structures are created and maintained as well as particulars on the necessary filings and registrations.

    This paper was presented at the Basic Corporate Procedures for Legal Support Staff seminar which was held in Edmonton on April 6, 2011 and Calgary on April 13, 2011. This paper provides an overview of the registration of extra-provincial corporations in Alberta, including an outline of the steps required to complete such a registration. The effect of the Trade, Investment and Labour Mobility Agreement on corporate registration between Alberta and British Columbia is discussed. The paper concludes with an analysis of s 45 of the Alberta Business Corporations Act, which deals with financial assistance by corporations and the disclosure requirements. Precedents required by s 45 are included.

    This paper focuses on the standard of care a physician owes to his or her patient, providing an overview of the relationship between duty and standard of care in medical negligence. The general principles used by a court and the key factors in court decisions will be discussed and the paper concludes with an analysis of two commonly raised defences against allegations of medical negligence relating to standard of care. This paper was presented at the Health Law program which was held in Edmonton on March 3, 2011 and in Calgary on March 10, 2011.

    This paper provides an overview of the law of informed consent and sets out some practical suggestions for litigating informed consent issues. Three issues focused on include: (1) the obligation of health care practitioners to disclose personal matters, (2) the method and content of disclosure, and (3) causation and the timing of surgery. These issues are analyzed from the perspective of both a plaintiff and defendant's counsel. This paper was presented at the Health Law program which was held in Edmonton on March 3, 2011 and Calgary on March 10, 2011.

    This paper discusses discipline and due diligence of employees and the importance of enforcing safety policies and procedures. The paper focuses on whether, when and to what extent employers should discipline employees for a breach of their safety policy and the dangers of not disciplining employees. It also looks at how and where discipline can be challenged in union and non-union environments. This paper was presented at the Occupational Health & Safety Law Fundamentals for In-House Counsel program which was held in Edmonton on March 14, 2011 and Calgary on March 15, 2011.

    This paper discusses the components necessary for a company to work towards corporate safety, health, and environment performance excellence, as well as the important role in-house counsel can play in the design and execution processes. The foundations of an effective corporate health and safety program are explored, with a focus on the corporate governance model and the supporting structures and systems to assist senior management set and attain key health and safety objectives. The paper concludes with a discussion on how in-house counsel can assist the strategic and managing levels of an organization set and achieve these health and safety goals. This paper was presented at the Occupational Health & Safety Law Fundamentals for In-House Counsel program which was held in Edmonton on March 14, 2011 and Calgary on March 15, 2011.
