Current Trends in Corporate Practice and Procedures

This paper provides an overview of recent trends and changes in Canadian corporate law. It discusses proposed changes to the Canada Business Corporations Act, the Canada Cooperatives Act, and the Canada Not-For-Profit Corporations Act, brought under Bill C-25 in September 2016 but not yet enacted. This paper also considers a recent trend in Canadian corporate law with respect to the introduction of exclusive forum bylaws, which has the potential to impact how shareholder-company disputes are heard in Canada.

This paper is part of a collection presented at LESA’s Corporate Procedure Fundamentals seminar in Edmonton on May 3, 2017 and in Calgary on May 10, 2017.
