Joint Ventures: Pre-Transaction Considerations – This session will focus on preliminary and pre-transaction considerations, including non-disclosure and exclusivity. It will also explore key transaction structuring considerations such as business organization/structure (joint venture vs. limited partnership vs. corporation) and tax considerations.
Joint Ventures: Agreements – This session will dive into the transaction agreement, including must-have key provisions, formation, contributions (cash vs. in-kind), funding, profit & loss sharing, decision making, expansion, new partners, financing, withdrawal, and dissolution.
Joint Ventures: Closing and Special Considerations – This session will delve into closing the transaction and explore preferential rights (tag-along, drag-along, shotgun clause, rights of first refusal) and special considerations (intellectual property, non-compete clauses, operatorship, employees).
