Key aspects of most employment contracts include termination provisions attempting to restrict the amount of notice or compensation employees will receive upon their termination, and restrictive covenants like non-competition and non-solicitation provisions that endeavor to restrain an employee’s post-employment activities. But simply including these provisions in the contract doesn’t make them enforceable. Consider these issues and evaluate how to better advise clients. Key topics include:
- Does a termination provision actually oust common-law damages? (and how to draft one that does)
- How to assess whether a termination provision is valid and enforceable (and what happens if it is not)
- Determining what severance might be owing to an employee (are bonuses and incentives included in “severance”?), and drafting provisions to restrict those entitlements
- Drafting / assessing the validity of restrictive covenants, like non-competition provisions and non-solicitation provisions
