  • Corporate Drafting: Share Structure Supplement to Presentation Materials

    When drafting a corporation’s share structure, precedents are often used. However, relying on precedents without understanding them can result in mistakes. This paper, prepared as a supplement to the author’s presentation, highlights the importance of understanding “standard” language in share structures and applicable statutory provisions. It provides a reference guide for drafting, amending, and reading share structures. A glossary of common terms and sample drafting language is included.

  • Current Trends in Corporate Practice and Procedures

    This paper provides an overview of recent trends and changes in Canadian corporate law. It discusses proposed changes to the Canada Business Corporations Act, the Canada Cooperatives Act, and the Canada Not-For-Profit Corporations Act, brought under Bill C-25 in September 2016 but not yet enacted. This paper also considers a recent trend in Canadian corporate law with respect to the introduction of exclusive forum bylaws, which has the potential to impact how shareholder-company disputes are heard in Canada.
