Directors and officers should be mindful of potential liability under regulatory statutes. For example, directors can be personally responsible for debts or other financial obligations of an entity and directors and officers of regulated entity may be responsible for contraventions of a regulatory statute. This paper explores these potential liabilities and invites readers to consider how to protect themselves if they act as a director or officer.
